PREAMBLE

Probois-machinoutils specializes in the sale of woodworking and metalworking machines and tools.

Probois-machinoutils sells its products remotely via its website www.probois-machinoutils.com, by telephone through its customer service, by email, and at its premises. These General Terms and Conditions of Sale apply in all cases.

ARTICLE 1 – PURPOSE

These General Terms and Conditions define the rights and obligations of the parties in the context of the remote sale of goods and services by Probois-machinoutils to its customers.

The customer may download or print these Terms and Conditions.

ARTICLE 2 – GENERAL PROVISIONS

2.1 Legal capacity

The Customer must be at least 18 years old or legally authorized to place an order.

These Terms apply to both consumers and professional customers.

By validating an order, the Customer acknowledges having full legal capacity.

2.2 Scope and acceptance

The applicable Terms and Conditions are those in force on the date of order validation.

Validation of the order implies full and unconditional acceptance of these Terms.

2.3 Modification

Probois-machinoutils reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date of the order.

ARTICLE 3 – PRODUCT CHARACTERISTICS AND PRICES

3.1 Product information

Products and services are presented on the website with detailed descriptions enabling the Customer to know their essential characteristics before placing a final order.

3.2 Availability

Product offers and prices are valid as long as they are visible on the website.

Adding a product to the cart does not constitute order validation.

If a product becomes unavailable after order validation, the Customer will be informed and may obtain a refund.

3.3 Prices

Prices are expressed in Euros (€), including all taxes (VAT included).

Shipping costs are charged in addition and displayed before final validation of the order.

Prices are subject to French VAT. Any change in the legal VAT rate will automatically be reflected in product prices.

In case of a manifest pricing error, Probois-machinoutils reserves the right to cancel the order.

ARTICLE 4 – ORDER

4.1 Account creation

To place an order, the Customer must create an account by providing accurate personal information.

The Customer is responsible for maintaining the confidentiality of login credentials.

4.2 Order validation

The order is validated once the Customer confirms it by clicking “Pay my order”.

Any unvalidated order will not be processed.

Probois-machinoutils recommends that Customers retain a copy of order information.

4.3 Electronic signature

The double-click validation process constitutes an electronic signature with the same legal value as a handwritten signature.

4.4 Order modification

Once validated, the order may only be modified by contacting customer service.

After shipment, no modification is possible.

4.5 Order confirmation

An automatic email confirms receipt of the order.

Probois-machinoutils reserves the right to cancel any order in case of payment refusal, incomplete order, or suspected fraud.

ARTICLE 5 – PROMOTIONAL POLICY

Flash sales may be offered and are limited in quantity and/or time.

ARTICLE 6 – PAYMENT

Accepted payment methods include:

• Credit card (secure payment system)

• Bank transfer

• PayPal (when available)

• Installment payment via Alma (subject to conditions)

• Check payment (when available)

All payments are due in full at the time of order.

Payment transactions are secured via SSL encryption. Credit card data are not stored by Probois-machinoutils.

ARTICLE 7 – DELIVERY

Products are delivered to the address indicated by the Customer.

Delivery times begin once payment has been validated.

Orders may be shipped in multiple packages.

In case of absence, the Customer must collect the package from the carrier.

Upon presentation of the package to the delivery address, delivery is considered completed.

The Customer must check the condition of the goods upon delivery and indicate any precise reservations on the delivery note.

ARTICLE 8 – RETENTION OF TITLE

Products remain the property of Probois-machinoutils until full payment has been received.

Risk of loss or damage transfers to the Customer upon delivery.

ARTICLE 9 – RIGHT OF WITHDRAWAL (Consumers only)

In accordance with French Consumer Law, consumers have a fourteen (14) day withdrawal period from receipt of the goods without providing any reason.

Return shipping costs are borne by the Customer.

Returned products must be unused, complete, and in original packaging.

Refunds will be processed within fourteen (14) days after receipt and verification of the returned goods.

The right of withdrawal does not apply to professional customers.

ARTICLE 10 – WARRANTY AND AFTER-SALES SERVICE

10.1 Legal warranty

Consumers benefit from:

• Legal warranty of conformity (2 years)

• Warranty against hidden defects

These warranties apply under French law.

10.2 Commercial warranty

Commercial warranties are those provided by manufacturers and vary depending on the brand.

The commercial warranty covers replacement of defective parts only, excluding labor and travel costs.

Exclusions include:

• Normal wear and tear

• Improper use

• Unauthorized modifications

• Consumables

• Damage due to misuse or negligence

ARTICLE 11 – INTELLECTUAL PROPERTY

All content on the website (texts, images, logos, etc.) is protected by intellectual property law.

Any reproduction or commercial use without authorization is strictly prohibited.

ARTICLE 12 – LIABILITY

Probois-machinoutils is bound by an obligation of means regarding website operation.

The company shall not be held liable for:

• Internet disruptions

• Force majeure events

• Incompatibility with customer equipment

The Customer is responsible for protecting their own technical equipment.

ARTICLE 13 – FORCE MAJEURE

Probois-machinoutils shall not be held liable in case of force majeure events preventing performance of the contract.

ARTICLE 14 – APPLICABLE LAW AND DISPUTES

These Terms and Conditions are governed by French law.

In case of dispute, the Customer shall first contact Customer Service to seek an amicable resolution.

Failing amicable resolution, disputes shall be submitted to the competent French courts.

For consumers, mediation may be requested in accordance with French Consumer Law.
